Except for any third-party content, the data and materials on the BSA bid ethics site and contained the BSA, including without limitation text, software, graphics, logos, photos, music, videos, and all other audible, visual, or downloadable materials, as well as the selection, organization, coordination, compilation, and overall look and feel of the Ludian USA BSA Training Course (collectively, hereafter referred to as the “BSA Course Content”) are the intellectual property of Ludian USA or any of its licensors. When you purchase, request access to the course for demonstration and test purposes, or otherwise use the BSA Training Course, you agree to these Terms of Use and Liability Disclaimer (this “Agreement”).

The BSA Course Content is provide “as is “and is intended for educational and illustrative purposes only. It is not intended to provide legal or business advice specific to your role, your organization or your clients or intended to substitute the advice of legal professionals.

Ludian USA, Aleido Learning UK Ltd, and any other business affiliates linked to this course, make no guarantees or warranties that the information in BSA Course Content is appropriate for you, your organization or clients or that it will result in the improvement of your business within any particular timeline or at all. This course content is intended solely as an educational and awareness tool for annual ethics Continued Professional Development (CPD) requirements for Professional Engineers.

The content does not take into account your personal/professional/organization circumstances, policies or procedures and other factors which are important in determining whether you achieve any actual results in relation to your business risk management processes. No character or company likeness

No distribution in any manner without written permission

The BSA Course Content may not be distributed, downloaded or uploaded, modified, reused, copied, reproduced, transferred, displayed, reposted, transmitted, disseminated, sold, published, broadcast, circulated, or otherwise or in any way used whether a fee is charged or not, without the express written permission of Ludian USA.

Ludian USA, on its own and on behalf of its licensors, reserves the right to take any legal or technical remedies to prevent the violation of the Agreement and to protect Ludian USA Services (including BSA Course content) and the rights and property of Ludian USA, its affiliates and/or its licensors. If you violate this Agreement, your permission to use the Ludian USA Services automatically terminates and your access to this BSA Course Content will be removed immediately, and you must immediately destroy any copies you have made of the BSA Course Content. Any actions on your behalf to the contrary could result in litigation.

Purchase does not grant any ownership rights

The purchase of a BSA Training Course license does not grant you any ownership or other rights to our BSA Training Course nor the LMS through which the BSA Training Course is distributed, except for the limited license to access and use the BSA Training Course for a limited duration in accordance with this Agreement.

Use and access of the BSA Course Content

In regard to the LMS through which the BSA Training Course is distributed and thus included in the BSA Course Content you acknowledge and agree to the following:

Prohibited Conduct: You agree not to misuse the LMS in any way, including but not limited to, uploading harmful content, attempting unauthorized access, or disrupting the service for other users.

Service Availability: You acknowledge and agree that we, any of our licensors or any other business affiliates linked to the BSA Course Content, will not be held accountable for any downtime, interruptions, or delays in any service or functionality which may result in BSA Course Content not being available. While we strive to maintain continuous and reliable service, unforeseen circumstances may cause temporary disruption. By using this service and accepting the Agreement, you acknowledge and agree that we will not be liable for any losses or damages that may result from such interruptions.

Browser or other System Compatibility: We do not guarantee that the BSA Course Content will function correctly with all web browsers or other systems. While the LMS is designed to work with commonly used browsers and operating systems, compatibility issues may arise. Users are responsible for ensuring that they are using compatible software and hardware.

Sales policy

BSA Training Course is intended solely for professional Engineers. Ludian USA has the sole right and discretion to determine whether to sell the BSA Training Course to any individual/organization and may reject a purchase by any individual with or without explanation. All sales are final for the online BSA Training Courses. No refunds are issued for online courses once a sale is completed.

Course registration

All platform users on purchasing the BSA training course are subject to a time restriction on access to the platform for 12 months. When you complete the purchase process, you will be asked to register with the use of an email and password, which allows you to take one seat in the online training for your personal use only, and thus you must not share your account with others. This seat is non-transferable. You agree to maintain the confidentiality of your account username, login information, and password and are fully responsible for all liability and damage resulting from your failure to maintain that confidentiality. You agree to immediately notify Ludian USA of any authorized use of your password or any other breach of security.

Limitation of Liability

To the fullest extent permitted by law, Ludian USA’s, any of its licensor’s or any other business affiliates linked to the BSA Course Content total liability to you for any claim arising out of or in connection with your use of the BSA Course Content, whether in contract, tort, or otherwise, shall be limited to the greater of (i) the total fees paid by you for access to the BSA Course Content in the 12 months preceding the claim or (ii) one hundred dollars (USD $100). Ludian USA, any of its licensors or any other business affiliates linked to the BSA Course Content, shall not be liable for any direct, indirect, incidental, consequential, punitive or special damages arising out of or in connection with your use of the BSA Course Content. This includes, but is not limited to, any loss of data, loss of profits, or business interruption, whether or not the service provider has been advised of the possibility of such damage. Your sole remedy for dissatisfaction with the LMS is to discontinue its use

Modifications to the Agreement

We may update these terms at any time. If we make significant changes, we will notify you through this website at least one (1) month prior to the changes coming into force. Continued use of the BSA Course Content after such changes signifies your acceptance of the updated terms.

Force Majeure

Ludian USA shall not be liable for any failure or delay in performing its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, labor strikes, governmental actions, or interruptions in internet or telecommunications services.

Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the extent necessary to make it enforceable, or, if not possible, severed from the Agreement. The remaining provisions shall continue in full force and effect.

Right to Assign

Ludian USA reserves the right to assign or transfer its rights and obligations under this Agreement to any third party at its discretion. You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of Ludian USA.

Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Nevada. Any disputes arising out of these terms will be subject to the exclusive jurisdiction of the courts of Nevada.

PCI Compliance

Ludian USA ensures that all credit card transactions processed through our website are handled securely. We use Stripe, a third-party payment processor certified to PCI Service Provider Level 1, the highest level of certification available. This compliance ensures that all payment card information is processed, stored, and transmitted securely under the Payment Card Industry Data Security Standards (PCI DSS).

Privacy Policy

We value your privacy and are committed to protecting your personal information. When you make a payment on our website, the information you provide is processed securely by Stripe. We do not store payment card information on our servers.

Data Collection and Use

Information Collected: When you make a purchase, we collect personal information such as your name, email address, billing address, and payment details.

Changes to This Policy

Ludian USA reserves the right to update or change our PCI Compliance/Privacy Policy/Data Protection statement at any time. Any changes will be posted on this page, and we encourage you to review this policy periodically.

If you wish to request permission to use any Ludian USA Content in a manner otherwise prohibited under this Agreement, please contact the administrator (information provided below).
